Business Terms
Ruegg & Co Limited is an Arranger for all its investment business under the rules of the Securities and Futures Authority and as such does not handle any cash or securities belonging to its clients.
All clients wishing to deal in shares and securities should do so through their own stockbroker.
- The services we will provide
We will provide investment advisory services in the following investments which we have knowledge of in particular as sponsors:
- shares in British or foreign companies; and
- unit trusts, mutual funds and similar schemes in the United Kingdom or elsewhere.
- Execution-only arrangements
Please note that we will not advise you about the merits of a particular transaction if we reasonably believe that, when you give the order for that transaction, you are not expecting such advice and are dealing on an execution-only basis.
In such circumstances, we will inform you at the time and we will arrange your order on that basis.
- Your investment objectives
We are proceeding on the basis that, unless otherwise instructed in the case of a particular investment,
- your current investment objectives are primarily to maximise growth; and
- you are prepared to accept a moderate to high level of risk.
- Restrictions on types of investment
If you do not inform us of any investments or types of investments which you do not wish us to recommend to you or arrange purchase for you, we may recommend to you any investment which falls within any of the categories set out in 1 above. However, under the rules of The Securities and Futures Authority, we may recommend to you only investments which we have reasonable grounds for believing are suitable for you.
- Charges
In general our charges are incurred by the relevant company in which you will be invited to invest and there will be no separate charge made to you. In unusual situations we may make a charge but we shall draw your attention to such charges at the appropriate time.
- Conflicts of interest
Your attention is drawn to the fact that when we give you investment advice, we, an associated company or some other person connected with us, may have an interest, relationship or arrangement that is material in relation to the investment or service concerned. However our employees are required to comply with a policy of independence and disregard any such interest when making recommendations to you.
When we recommend a transaction to you or arrange a transaction for you, we could be
- matching your transaction with that of another customer by arranging on his behalf as well as yours;
- arranging the buying or selling of units in a collective investment scheme where we are the adviser of the trustee or operator of the scheme;
- arranging the buying of investments where we are involved in a new issue, rights issue, takeover or similar transaction concerning the investment.
- Aggregating orders
We may arrange for your order to be combined with orders of other customers. By combining your orders with those of other customers we must reasonably believe that a more favourable price would be obtained than if your order had been executed separately. However, on occasions aggregation may result in you obtaining a less favourable price.
- Non-readily realisable investments
We may arrange transactions on your behalf in non-readily realisable investments. These are investments in which the market is limited or could become so; it can be difficult to assess what would be a proper market price for them. Please inform us if you do not wish to be advised in respect of such investments.
- Off-exchange transactions
We may arrange transactions for you in circumstances in which the relevant deal is not regulated by the rules of any stock exchange or investment exchange. Please inform us if you do not wish us to arrange such transactions for you.
